In these terms, “The Tool Guys”, “we”, “us” and “our” mean The Tool Guys Ltd.

“You” and “customer” mean the person or business using our website or purchasing products from us.

2. What these terms cover

These terms apply to:

  • Online orders placed for delivery
  • Online orders placed for collection from our Darwen shop
  • Purchases made wholly or mainly for business purposes, where stated

These terms should be read together with our:

If there is a conflict between these terms and specific information clearly provided on a product page, order confirmation or applicable policy, the more specific information will normally apply.

These terms apply to sales made by The Tool Guys Ltd. Separate terms may apply when:

  • You sell tools to us or through Sell Tools Online
  • You enter into a tool hire or rental agreement
  • You use a repair service
  • A product or service is supplied under a separately agreed written contract

Any separate terms will be made available before the relevant agreement is completed.

3. Consumers and business customers

A consumer is an individual purchasing wholly or mainly for purposes outside their trade, business, craft or profession.

A business customer is someone purchasing wholly or mainly for business purposes.

Certain legal rights described in these terms apply only to consumers. The sections specifically concerning business customers apply where a purchase is made wholly or mainly for business purposes.

Entering a company name during checkout does not by itself determine whether a customer is a business customer. The main purpose of the purchase will be considered.

4. Our products

We sell products that may include:

  • New products
  • Surplus stock
  • Used products
  • Refurbished products
  • Products supplied without original packaging
  • Products supplied with cosmetic signs of storage or previous use
  • Products sold for parts or repair, where clearly stated

The condition of each product will be shown on the product page.

New products

A new product is unused. Information about packaging, manufacturer seals, storage marks or missing packaging will be stated where applicable.

Surplus products

Surplus products are generally unused products obtained from sources such as excess inventory, cancelled projects, business closures or other legitimate stock sources.

Packaging may show signs of storage, handling or previous labelling. Any significant packaging issue will be stated where relevant.

Used products

Used products have been previously owned or used. They may show cosmetic wear consistent with their age, price, description and previous use.

Used products are checked or tested as described before being listed. Testing does not make a used product new or refurbished.

Refurbished products

A refurbished product has been inspected and restored or prepared to working order. This may include testing, cleaning, adjustment, repair or replacement of components where necessary.

The extent of the refurbishment and any known cosmetic defects, missing parts or limitations will be described where relevant.

Products sold for parts or repair

A product sold for parts or repair is not represented as fully working unless expressly stated.

Any known faults will be described. Such products are not covered by our additional 12-month seller warranty, although this does not remove any statutory rights concerning the accuracy of the description, ownership of the goods or rights that cannot legally be excluded.

5. Independent retailer and brand names

The Tool Guys is an independent retailer.

Unless expressly stated, we are not an authorised dealer, agent or representative of the manufacturers or brands whose products we sell.

Brand names, model names, trademarks and product images are used to identify and describe genuine products offered for sale. Their use does not imply sponsorship, authorisation or endorsement by the relevant manufacturer.

A manufacturer’s warranty is only included where:

  • The product listing expressly states that it is included
  • The warranty remains valid and transferable
  • Any relevant registration or purchase requirements can be met

Our own 12-month seller warranty is separate from any manufacturer’s warranty.

6. Product descriptions and photographs

We take reasonable care to ensure that product:

  • Titles
  • Descriptions
  • Specifications
  • Condition information
  • Prices
  • Availability
  • Photographs

are accurate.

For used and one-off products, the photographs will normally show the actual item being sold where the listing states this. The photographs form part of the product description.

For products with multiple identical units, stock or manufacturer photographs may be used. Packaging, serial numbers, production dates and minor cosmetic details may vary unless expressly stated.

Colours may appear slightly different depending on lighting, photography and device-screen settings.

Product dimensions, weights and performance figures may be approximate or based on manufacturer information. Customers should contact us before ordering if a particular measurement, specification or compatibility requirement is essential.

Nothing in this section limits your rights where a product is not as described.

7. Compatibility and safe use

Before ordering, you should check that the product is appropriate for your intended use, including:

  • Voltage
  • Plug type
  • Battery platform
  • Charger compatibility
  • Tool fitting
  • Blade, bit or accessory size
  • Power requirements
  • Intended application

If you tell us about a particular purpose before purchasing and rely on our advice, your legal rights concerning fitness for that purpose are not affected.

Power tools and related products must be used:

  • Safely
  • For their intended purpose
  • In accordance with applicable instructions
  • With suitable personal protective equipment
  • By a person with appropriate knowledge or supervision

Any safety guard or protective device supplied with a product should remain correctly fitted and used.

These requirements do not remove our responsibility for supplying products that meet applicable legal standards.

8. Who may place an order

You must be at least 18 years old and legally capable of entering into a contract to place an order.

If you place an order on behalf of a business or another organisation, you confirm that you have authority to bind that organisation.

You must provide complete and accurate information during checkout.

9. Prices

All prices are shown in pounds sterling.

Prices include any VAT or other applicable sales tax that we are legally required to charge.

Delivery is free for UK mainland orders unless:

  • A product page states otherwise
  • A different delivery option is selected
  • A surcharge or alternative charge is clearly displayed before the order is placed

The total amount payable will be shown before checkout is completed.

We may change prices before an order is placed. A price change will not affect an order that we have already accepted.

10. Pricing and listing errors

We try to ensure that prices and product information are correct, but genuine mistakes may occasionally occur.

If we identify an obvious pricing or listing error before accepting an order, we may:

  • Contact you and offer the option to proceed using the correct information; or
  • Cancel the order and issue a full refund

We will not substitute a materially different product or increase the agreed price without your agreement.

If an error is discovered after an order has been accepted, we will act reasonably and in accordance with applicable law. Nothing in this section allows us to avoid responsibility for an inaccurate product description or an accepted contract where we are not legally entitled to do so.

11. Availability

Products are subject to availability.

Many used and refurbished products are single-stock items. Although our website updates stock information, an item may occasionally become unavailable because of:

  • A simultaneous online or in-store sale
  • A stock-recording error
  • Damage discovered during final dispatch checks
  • Loss, theft or another issue outside our reasonable control

If we cannot supply a product, we will contact you and issue a full refund for the unavailable product.

We will not replace it with a different product without your agreement.

Products shown as in stock must normally be available for online purchase. If an item is collection-only or subject to a delivery restriction, this will be stated clearly.

12. Placing an order

The checkout process allows you to review and correct order information before submitting the order.

By selecting the final order or payment button, you are making an offer to purchase the products in your basket under these terms.

After the order is submitted, we will normally send an automated acknowledgement. This confirms that we have received the order but does not necessarily mean that it has been accepted.

13. When the contract is formed

A contract is formed when we:

  • Send confirmation that the order has been dispatched; or
  • Tell you that a collection order is ready for collection

If we expressly confirm acceptance earlier, the contract is formed when that confirmation is sent.

We may decline an order before acceptance where reasonably necessary, including where:

  • A product is unavailable
  • Payment is not authorised
  • Information provided appears incorrect or incomplete
  • We reasonably suspect fraud or unlawful activity
  • A delivery address is outside our supported delivery area
  • There is an obvious pricing or product-information error
  • A legal restriction prevents the sale

If payment has already been taken for an order we do not accept, we will issue a full refund.

14. Payment

Payment must be made using one of the payment methods displayed during checkout.

Payment may be processed by an independent payment provider. The provider may conduct security, authentication and fraud-prevention checks.

We do not normally receive or store complete payment-card details.

An order may be delayed or declined if:

  • Payment is refused
  • Additional verification is required
  • The billing information cannot be verified
  • The transaction is identified as potentially fraudulent

You confirm that you are authorised to use the selected payment method.

15. Order confirmation

We will provide confirmation of the order by email or another durable format that can be saved.

The confirmation will normally include:

  • Order number
  • Products ordered
  • Price paid
  • Delivery or collection method
  • Delivery address, where applicable
  • Customer contact information

You should contact us promptly if the confirmation contains an error.

16. Delivery area

We currently deliver to addresses accepted through our checkout.

Our standard free-delivery service is intended for UK mainland addresses. We do not promise delivery outside the UK mainland unless the destination and any applicable charge are accepted during checkout or agreed with us in writing.

Delivery restrictions may apply to:

  • Northern Ireland
  • The Channel Islands
  • The Isle of Man
  • Scottish islands
  • Other offshore destinations
  • Remote locations not covered by our standard carriers

The applicable delivery area, charge and estimated delivery time must match the information shown before the order is placed.

17. Delivery methods and times

We normally use:

  • DPD Next Day for larger parcels
  • Royal Mail Tracked 24 for smaller or lighter parcels
  • Another suitable tracked carrier where reasonably necessary

“Next Day” and “Tracked 24” describe the carrier service used after dispatch. They do not necessarily mean that every order will arrive on the calendar day after it is placed.

Orders placed before 2:00pm on a working day are normally dispatched the same working day.

Orders placed:

  • After 2:00pm
  • During a weekend
  • On a bank holiday

are normally processed on the next working day.

UK mainland orders normally arrive within one to two working days after the order is placed, although this is an estimate unless a guaranteed delivery date is expressly agreed.

Working days are Monday to Friday, excluding UK bank holidays.

18. Delivery delays

We are responsible for arranging delivery within the agreed period.

If no different period has been agreed, consumer orders will be delivered without undue delay and normally within 30 days.

We are not responsible for a delay caused by an event outside our reasonable control where we have taken reasonable steps to minimise the effect. We will contact you if a substantial delay becomes known.

Your legal rights may include the right to:

  • Agree a revised delivery date
  • Require delivery by an appropriate additional deadline
  • Cancel the order and receive a refund where delivery remains unreasonably late
  • Cancel immediately where delivery by the agreed date was essential and this was made clear before the contract was formed

Nothing in these terms removes those rights.

19. Delivery address and instructions

You are responsible for providing an accurate and complete delivery address.

If you notice an error, contact us as soon as possible. We cannot guarantee that an address can be changed after dispatch.

You may be responsible for reasonable additional costs caused by an incorrect or incomplete address where:

  • The error was provided by you
  • The cost could not reasonably have been avoided
  • The charge is explained before it is applied

We will not impose an administration or restocking fee simply because an address needs correcting.

20. Safe places and neighbours

A delivery carrier may offer options such as delivery:

  • To a nominated neighbour
  • To a specified safe place
  • On another date
  • To a collection point

If you personally select or authorise one of these options, delivery to the nominated place or person may be treated as delivery in accordance with your instruction.

If tracking shows delivery to a place or person you did not authorise, contact us promptly so that we can investigate.

This section does not remove any responsibility we or the carrier have where a parcel has not been delivered in accordance with the contract or your instructions.

21. Risk and ownership

For consumer purchases, responsibility for accidental loss or damage normally passes to you when:

  • You take physical possession of the product; or
  • A person identified by you takes physical possession on your behalf

If you arrange your own carrier and that carrier was not offered by us, risk may pass when the product is handed to that carrier, where permitted by law.

Ownership of a product passes to you once:

  • We have received full payment; and
  • The product has been delivered or collected

22. Collection orders

An order placed and paid for online remains an online purchase even if it is collected from our shop.

We will tell you when the order is ready.

Please do not travel to collect an order until you have received confirmation that it is ready.

We may ask for:

  • The order number
  • The name on the order
  • Proof of identity
  • Confirmation from the payment cardholder

Risk normally passes when the product is collected by you or a person authorised by you.

23. Cancelling before dispatch

If you wish to cancel an order before dispatch, contact us as soon as possible.

If the order has not been dispatched, we will cancel it and refund the payment to the original payment method.

If the order has already been dispatched, you may return it under our Returns, Cancellations and Refunds Policy.

24. Consumer cancellation rights

Consumers purchasing online normally have the right to cancel without giving a reason.

You must tell us that you wish to cancel within 14 calendar days after receiving the order. You then normally have a further 14 calendar days to return the products.

If an order is delivered in separate parcels, the cancellation period normally begins after the final parcel is delivered.

You may inspect the product in the same way that you could reasonably inspect it in a shop.

We may make a reasonable deduction where the product’s value has been reduced because it was handled beyond what was necessary to establish its nature, characteristics and operation.

25. Our extended 60-day returns policy

In addition to statutory cancellation rights, we offer consumers a 60-calendar-day change-of-mind return period for eligible website purchases.

For returns made after the statutory 14-day cancellation period, the product must meet the conditions explained in our Returns, Cancellations and Refunds Policy.

This extended policy includes eligible:

  • New products
  • Surplus products
  • Sale-priced products
  • Used products
  • Refurbished products

Customers are responsible for change-of-mind return postage.

The Tool Guys Ltd pays reasonable return costs where a product is:

  • Faulty
  • Damaged on arrival
  • Incorrectly supplied
  • Misdescribed

We do not charge a restocking or administration fee.

26. Refunds

Refunds are normally issued to the original payment method.

We normally process an approved refund within two working days after receiving and checking the returned product.

Your bank or payment provider may take additional time to display the refund.

Where statutory cancellation rights apply, refunds will be provided within the applicable legal deadline.

Where an entire online order is cancelled within the statutory cancellation period, we will refund:

  • The price paid for the returned products
  • The cost of our least expensive standard delivery service offered for the order

Additional delivery costs for a premium service selected by the customer are not normally refundable beyond the cost of standard delivery.

27. Faulty, damaged or misdescribed products

Consumer products must be:

  • Of satisfactory quality
  • Fit for their normal purpose
  • Fit for any particular purpose made known to us before purchase
  • As described

These requirements apply to new, surplus, used and refurbished products.

The age, price, description, disclosed condition and known faults of a used or refurbished product may be taken into account when assessing satisfactory quality.

A fault or cosmetic issue clearly disclosed before purchase will not normally make the product misdescribed. This does not affect your rights concerning a separate undisclosed fault.

Consumers may have:

  • A short-term right to reject qualifying faulty goods within 30 days
  • A right to request repair or replacement
  • A right to a price reduction or final rejection where the applicable legal conditions are met

Sale-priced products have the same statutory rights as full-price products.

Please contact us as soon as reasonably possible if a product is faulty, damaged, incorrect or not as described.

28. Our 12-month tool warranty

Every qualifying tool purchased directly from The Tool Guys Ltd includes our 12-month seller warranty, whether sold as new, surplus, used or refurbished.

The warranty does not apply where a product is expressly sold for parts or repair and clearly described as such before purchase.

The warranty begins on the date of delivery or collection.

It is provided in addition to statutory rights and does not replace, restrict or shorten those rights. The expiry of the warranty does not necessarily mean that your statutory rights have ended.

29. Manufacturer warranties

A manufacturer warranty is only included where this is expressly stated on the product page.

Manufacturer warranties may be subject to:

  • Original proof-of-purchase requirements
  • Registration deadlines
  • Territorial restrictions
  • Transfer restrictions
  • Remaining warranty periods
  • Manufacturer-specific exclusions

We do not guarantee that a manufacturer will accept a warranty claim unless the listing expressly confirms that the warranty is valid and transferable.

Our 12-month seller warranty is not dependent on the availability of a manufacturer warranty.

30. In-store purchases

The statutory 14-day distance-selling cancellation right does not normally apply to purchases completed entirely in our physical shop.

An in-store change-of-mind return will be considered under the terms explained at the time of purchase.

Statutory rights concerning faulty, damaged, unsafe or misdescribed goods still apply.

An order placed and paid for online remains an online purchase even if it is collected from the shop.

31. Business purchases

The statutory consumer cancellation and refund rights described in these terms do not apply where a product is purchased wholly or mainly for business purposes.

Our published 12-month tool warranty still applies to business purchases where stated.

For business purchases, to the extent permitted by law and subject to reasonableness:

  • Terms implied by sections 13 to 15 of the Sale of Goods Act 1979 may be excluded where the product description and agreed terms provide otherwise
  • We are not responsible for indirect or consequential business losses
  • We are not responsible for loss of profit, revenue, contracts, anticipated savings, production or business opportunity
  • Our total liability arising from an order will normally be limited to the price paid for the product giving rise to the claim

These limitations do not apply to:

  • Fraud or fraudulent misrepresentation
  • Death or personal injury caused by negligence
  • Breach of the implied term concerning legal ownership of the goods
  • Defective-product liability that cannot legally be excluded
  • Any other liability that cannot legally be limited or excluded

Business customers are responsible for ensuring that products are suitable for their business processes, risk assessments, regulatory requirements and intended working environment.

32. Our responsibility to consumers

We are responsible for losses a consumer suffers where they are a foreseeable result of:

  • Our breach of these terms
  • Our failure to use reasonable care and skill
  • Supplying products that do not meet applicable statutory requirements

A loss is foreseeable if it was an obvious consequence or was contemplated by both parties when the contract was formed.

We are not responsible for a loss that:

  • Was not caused by our actions or breach
  • Could not reasonably have been foreseen
  • Results from misuse contrary to clear instructions
  • Results from an unsuitable accessory, battery, charger or power supply not supplied or recommended by us
  • Results from an unauthorised alteration or repair

Nothing in these terms excludes or limits responsibility for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Faulty or misdescribed goods
  • Goods we had no right to sell
  • Defective products where liability cannot be excluded
  • Statutory consumer rights
  • Any other responsibility that cannot legally be excluded

33. Events outside our reasonable control

We are not responsible for a delay or failure caused by an event outside our reasonable control where we have taken reasonable steps to minimise its effect.

Such events may include:

  • Severe weather
  • Flooding or fire
  • Transport disruption
  • Carrier network failure
  • Strikes not involving our own staff
  • Government restrictions
  • Major telecommunications or payment-network failures

We will contact affected customers where a material delay becomes known.

If the delay is substantial, you may have the right to cancel and receive a refund for products not supplied.

34. Product recalls and safety notices

If we become aware of a relevant product recall or serious safety issue, we may contact affected customers using the order contact information we hold.

Customers should follow any safety instructions or recall information provided.

We may share information with a manufacturer, regulator or authority where necessary to meet a legal product-safety obligation.

35. Customer accounts

You are responsible for:

  • Providing accurate account information
  • Keeping login details confidential
  • Taking reasonable steps to prevent unauthorised access
  • Informing us if an account may have been compromised

We may suspend an account where reasonably necessary to:

  • Protect the account holder
  • Investigate suspected fraud
  • Prevent misuse
  • Meet a legal requirement

Suspending an account does not remove our obligations concerning existing accepted orders.

36. Acceptable website use

You must not use our website:

Reasonable personal browsing, product comparison and use of publicly available information are permitted.

Any review or content submitted must:

  • Reflect a genuine experience
  • Be accurate to the best of the contributor’s knowledge
  • Not impersonate another person
  • Not contain unlawful, threatening or abusive material
  • Not infringe intellectual-property or privacy rights
  • Disclose any material incentive received

We may remove content that breaches these requirements or applicable law.

We will not remove or suppress a genuine negative review solely because it is critical of us.

We do not purchase, commission or knowingly publish fake customer reviews.

We will investigate complaints fairly and aim to respond without undue delay.

44. Alternative dispute resolution

We will first try to resolve consumer complaints directly.

If we cannot resolve a complaint after completing our internal complaints process, we will provide the consumer with any information required by law about a competent approved alternative dispute resolution provider.

We will also state whether we are obliged or prepared to participate in that provider’s procedure.

We are not currently committed to using a particular alternative dispute resolution provider unless participation is required by law or agreed in relation to a particular dispute.

This does not prevent either party from seeking independent advice or using the courts.

45. Governing law and courts

These terms and any contract between you and The Tool Guys Ltd are governed by the laws of England and Wales.

If you are a consumer living in Scotland or Northern Ireland, you retain the benefit of any mandatory protections provided by the law in your part of the United Kingdom.

Consumers may bring proceedings in the courts applicable to where they live.

Business customers agree that the courts of England and Wales will have exclusive jurisdiction, unless otherwise agreed in writing.

46. General terms

If any part of these terms is found to be unlawful or unenforceable, the remaining sections will continue to apply.

A delay in enforcing a right does not waive that right.

No person other than the customer and The Tool Guys Ltd has the right to enforce the contract, except where the law provides otherwise.

We may transfer our rights and obligations to another organisation where this does not reduce a consumer’s rights. We will notify affected customers where required.

Business customers may not transfer an order or contract without our written agreement.
